Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Departure of Alan Baumel

On August 11, 2022, Alan Baumel resigned from his position as Chief Operating Officer of HeartBeam, Inc. (the “Company” or "HeartBeam") and transitioned (the “Transition”) to a new non-officer position of Operations Analyst effective as of August 15, 2022. Mr. Baumel’s Transition from Chief Operating Officer to Operations Analyst was not due to any disagreement with the Company or its Board of Directors or any matter relating to the Company’s operations, policies or practices. Mr. Baumel informed the Company prior to accepting the role of Chief Operating Officer that he intended to explore part-time university teaching opportunities during the 2023 academic year and if these materialized he would like to transition to a non-officer role with HeartBeam and provide his expertise to the organization as an Operations Analyst.
